NORMAL COURSE ISSUER BID

The Toronto Stock Exchange has accepted Boralex Inc.'s noticeof intention to begin a normal course issuer bid in respect of its Class Ashares. Purchases pursuant to the normal course issuer bid will commence onMay 1, 2008, and will not continue beyond April 30, 2009. The Class A sharespurchased shall be cancelled.

The notice will enable Boralex to acquire up to 1,889,220 Class A shareswhich represent approximately 5 per cent of the 37,784,405 issued and outstandingClass A shares as of April 21, 2008. During the last 12 months, no Class Ashare was purchased by Boralex under a normal course issuer bid.

The average daily trading volume of Boralex's Class A shares was 37,886on the Toronto Stock Exchange over the last six completed calendar months (theADTV). Accordingly, Boralex is entitled to purchase up to 25 per cent of the ADTV onany trading day being 9,471 Class A shares. All purchases will be made throughthe facilities of the TSX in accordance with itsrequirements.

Boralex considers that the issuer bid will provide the flexibility topurchase shares to offset the dilutive effects of the issuance of Class Ashares pursuant to the stock option plan. Boralex also considers that theshares to be acquired may, from time to time, be undervalued in the market andrepresent an excellent opportunity to enhance shareholder value.
