Countrywide to Hold Special Stockholders' Meeting June 25, 2008
YSE: CFC) announced today that it will hold its Special Meeting
of Stockholders on
June 25, 2008 to vote on the business combination between
Bank of America Corporation (NYSE: BAC) and Countrywide.
The meeting will take place at 9:00 am PDT in the Learning Center
Auditorium at Countrywide's corporate headquarters, located at 4500 Park
Granada, Calabasas, California.
The Countrywide board of directors has fixed the close of business on
April 28, 2008 as the record date for the Special Meeting. Only Countrywide
stockholders of record at that time are entitled to notice of, and to vote at,
the Special Meeting, or any adjournment or postponement of the Special
Meeting. In order for the merger to be approved, the holders of at least a
majority of the Countrywide shares outstanding and entitled to vote thereon
must vote in favor of approval and adoption of the Agreement and Plan of
Merger, dated as of January 11, 2008, by and among Countrywide Financial
Corporation, Bank of America Corporation and Red Oak Merger Corporation.
If stockholders plan to attend the Special Meeting, they must hold their
shares in their own name or have a letter from the record holder of their
shares confirming their ownership and they must bring a form of personal photo
identification with them in order to be admitted. Countrywide reserves the
right to refuse admittance to anyone without proper proof of share ownership
or without proper photo identification.
